  2.                              DEMO.TXT - DEMO LICENSE AGREEMENT

  4.         I.    SOFTWARE.  This copyrighted computer software from Digital
  5.         Communications Associates, Inc. ("DCA") has been specifically designed
  6.         for demonstration purposes by implementing a connect time limitation
  7.         ("Demo Program").  The title and all copyrights and ownership rights
  8.         in the Demo Program are retained by DCA or its supplier.  You
  9.         acknowledge that the Demo Program represents and embodies certain
  10.         trade secrets and confidential information of DCA or its supplier.

  12.         II.   LICENSE.  DCA grants you a limited non-exclusive license to
  13.         (i) load a copy of the Demo Program into the memory of a single
  14.         microcomputer (one (1) central processing unit); and (ii) use the Demo
  15.         Program subject to the connect time limitation inherent in the Demo
  16.         Program and subject to the terms of this Demo License Agreement.

  18.         III.  RESTRICTIONS.  You may not sublicense, rent, lease, sell, pledge,
  19.         or otherwise transfer or distribute the Demo Program.  You agree not
  20.         to translate, modify, disassemble, decompile, reverse engineer, or
  21.         create derivative works based on the Demo Program or any portion
  22.         thereof.  This Agreement automatically terminates without notice if
  23.         any provision of this Agreement is breached by you.

  25.         IV.   WARRANTY DISCLAIMER.  The Demo Program is provided "AS
  26.         IS", WITHOUT WARRANTY OF ANY KIND, either express or implied,
  27.         INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES
  28.         OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  29.         PURPOSE.  Without limitation, all warranties against infringement
  30.         or the like respecting the Demo Program are hereby disclaimed by us.
  31.         We do not warrant that any functions contained in the Demo Program
  32.         will meet your requirements or that your use of the Demo Program will
  33.         be uninterrupted or error-free.

  35.         V.    LIMITATION OF LIABILITY.  We shall have no liability to you or
  36.         any third party regarding the Demo Program or otherwise in warranty,
  37.         contract, tort, or otherwise.  IN NO EVENT WILL WE BE LIABLE
  38.         FOR ANY DIRECT, INCIDENTAL, SPECIAL INDIRECT,
  39.         GENERAL, OR CONSEQUENTIAL DAMAGE OR LOSS OF ANY
  40.         NATURE (such as damage to property, damages resulting from delay,
  41.         claims of third parties, loss of profits, or injury to person) which
  42.         may arise in connection with the use of or inability to use the
  43.         Demo Program.  This clause shall survive failure of an exclusive
  44.         remedy.  Some states do not allow the exclusion or limitation of
  45.         incidental or consequential damages, so the above limitation or
  46.         exclusion may not apply to you.

  48.         VI.   GENERAL.  The construction and performance of this Agreement
  49.         shall be governed by the laws of the State of Georgia.  This Agreement
  50.         contains the entire understanding between the parties and supersedes
  51.         any proposal or prior agreement regarding the subject matter hereof.
